LF SRM Platform - Terms of Service and Statement

1. LF SRM Platform Service Content

LF SRM Platform allows large enterprises to collect and manage multiple sets of system data of LF through a simple platform registration, and optimizes the relationship and transactions with suppliers. In addition, through collecting and analyzing transaction data through the platform, it serves as a security wall for suppliers’ data and authority, a value-added leap in the relationship between LF and suppliers is realized.]>

By entering the LF SRM Platform website in any way, you voluntarily agree and have entered into this Agreement with Mega Precision Technology (Dongguan) Limited registered in Dongguan and/or the affiliated companies (hereinafter collectively referred to as “The Company”) listed in Term 23.9 of this Agreement. You are aware of the terms and/or conditions of this Agreement, and you are committed that you have the rights to enter into and perform this Agreement. This Agreement shall become effective as of the date of entering into this Agreement. and this Agreement shall constitute a legal, valid, binding and enforceable agreement with you, and you voluntarily accept the terms and/or conditions (hereinafter referred to as the “Terms”) of this Agreement. The Company may change the “Terms” at any time at its sole and absolute discretion. You should read the revised “Terms” carefully after each login, and have the right to choose to stop or continue to use the “Service”; once you continue to use the “Service”, you have accepted the revised “Terms” and when you have a dispute with the Company, the latest Service Agreement shall prevail. Unless otherwise expressly stated, any new content that expands or enhances the scope of the “Service” is subject to this Agreement. This Agreement may not be amended separately unless a written agreement is signed by authorized senior management of the Company.

3. Customer subject qualification of LF SRM Platform

The “Service” of the LF SRM Platform can only be used by independent corporate legal entities with legal person status which are legally incorporated and registered in the company registration authority, and such company must be legally registered as a member of this website according to law. Do not use the “Service” if this condition is not met. The Company may, at its sole and absolute discretion, refuse to provide the "Service" to any person at any time. The “Service” will not be offered to members of the LF SRM Platform who are temporarily or permanently suspended.

4. Registration obligations

If you register on the LF SRM Platform website, you agree to: (a) provide true, accurate, complete and latest information about your company (including but not limited to business license, organization code certificate, tax registration certificate and other related documents) according to the requirement of the membership information form posted on the member registration page; (b) maintain and update the member information in a timely manner to keep it true, accurate, complete and reflect the current situation. If you provide any information that is untrue, inaccurate, incomplete or does not reflect the current situation, or the Company has reasonable grounds to suspect that the information is untrue, inaccurate, incomplete or does not reflect the current situation, the Company has the right to suspend or terminate your registration identity and information and refuse your current or future use of the “Service” (or any part thereof) in any form. If you register the LF SRM Platform on behalf of a company or other legal entity, you declare and warrant that you have the right to bind the company or other legal entity to the terms of this Agreement.

5. Member registration name and password

During the registration process, the Platform will provide you with a member registration name and password in the form of a system mail. You are solely responsible for maintaining the confidentiality of your member registration name and password, and you are responsible for all activities that occur under your member registration name and password. You agree that: (a) all actions made with your member registration name are deemed to be your own actions and you are liable to all actions; (b) you will immediately notify the Company if you discover any unauthorized use of your member registration name or password, or any other circumstances that violate the confidentiality regulations; and (c) you ensure that you leave the website in correct steps at the end of each internet session. The Company cannot and will not be liable for any loss or damage caused by your failure to comply with this term.

6. Charge

The Company reserves the right to charge a “service” fee after notifying you under Term 1. You are solely responsible for all taxable expenses, related hardware, software, communications, network services and other expenses incurred by you in connection with the transaction, the acquisition of paid services from the Company or the access to the Company’s servers. The Company reserves the right to temporarily or permanently change or discontinue some or all of the services without notice in writing and only on the website of the LF SRM Platform.

7. LF SRM Platform only provides platform for LF SRM service

This website is only used as a platform for the LF SRM service. However, the Company cannot guarantee the authenticity, accuracy and completeness of the information you provide; nor can it control the security or legality of your information and the ability of other parties who access the website to fulfill relevant obligations. The Company cannot and will not control whether the parties concerned can fulfill their obligations under the Agreement. In addition, you should be aware that the risk of damage to the information you upload to this website due to technical reasons such as hard drive damage and hacking is objective.

8. Your information

“Your Information” includes any information including data, text, software, music, sounds, photos, drawing, images, words or other materials, etc., that you provide to the Company or other users, during registration, uploading process, in any public information venue or by any email. You are solely responsible for “Your Information” and the Company is only a passive channel for posting and publishing “Your Information” on the Internet. However, if the Company believes that "Your Information" may expose the Company to any legal or moral liability, or may cause the Company (in whole or in part) to lose the services of the Company’s internet service providers or other providers, or that you have not logged in or re-logged in to the website within the period specified by LF SRM Platform, the Company may, at its sole and absolute discretion, take any action that the Company considers necessary or appropriate to “Your Information”, including but not limited to deleting such information. You should ensure that the materials submitted to the LF SRM Platform, the use of the LF SRM Platform "Service" and the result caused by use of the LF SRM Platform "Service" do not infringe the legitimate rights and interests of any third party. If a third party files a claim, lawsuits or possible lawsuit against the Company based on copyright infringement, infringement of the rights of a third party or violation of laws and regulations of the People’s Republic of China or other applicable laws, you shall reimburse for the expenses or losses borne by the Company, and ensure the Company is completely exempted from the liability. If a third party institution or individual challenges or lodges a complaint about the intellectual property rights of the LF SRM Platform "Service" and its related materials used by you, you are responsible for issuing relevant intellectual property certification materials and cooperating with the Company in handling related complaint work. You hereby warrant that you have all rights to the "Your Information" submitted to LF SRM Platform, including all copyrights. You acknowledge that LF SRM Platform is not responsible for confirming or determining which materials you submit to the Company should be protected, and that the Company is also not responsible for the use of “Your Information” by other users who enjoy the “Service”.

You agree, “Your Information”: a. will be no fraudulent elements, and no involvement in the sale of forgery or theft; b. will not infringe any third party’s property rights, or copyrights, patents, trademarks, trade secrets or other intellectual property rights, or the rights of privacy or reputation; c. will not violate any laws, regulations, ordinances or rules (including but not limited to laws, regulations, ordinances or rules governing export management, trade quotas, consumer protection, unfair competition or false advertising); d. will not involve content that contain defamation (including commercial defamation), illegal intimidation or unlawful harassment; e. will not contain obscenity or any child pornography; f. will not contain any virus, camouflage destruction program, computer worm, timed program bomb or other destructive program that deliberate destructs, maliciously interferes with, secretly intercepts or expropriates any system, data or personal information; g. will not directly or indirectly connect with the following goods or services or contain a description of the goods or services listed below: (i) goods or services prohibited under this Agreement; or (ii) goods or services that you are not authorized to connect or contain.

In addition, you agree not to: use the “Service” in connection with any chain of letters, large amount of unsolicited email or spam email, or any duplicate or redundant information; use the “Service” to collect email addresses and other information from other people without the consent of others; or uses the “Service” to create fake email addresses or otherwise attempt to mislead other people about the identity of the sender or the source of the information. Except with expressed permission of LF SRM Platform, you may not modify, translate, adapt, lease, sublicense, transmit or transfer the software provided by LF SRM Platform on the information network, nor reverse engineer, decompile or attempt to discover the source code of the software provided by the LF SRM Platform in any other approaches. If the “Service” is licensed for use by third party software, you agree to be bound by the relevant license agreement. Except with expressed consent of LF SRM Platform, you shall not sell or lease the purchased "Service" or parts thereof such as disk space; You shall not establish or utilize the equipment or configuration that is irrelevant to the program or process of the purchased "service", which leads to the taking up of large amount of server memory, CPU or network bandwidth resources in the platform (hereinafter referred to as "cloud platform") composed of cloud computing resources (such as cloud servers, network bandwidth, storage space, etc.) of the LF SRM Platform, bringing serious load to the network, servers (including but not limited to local and foreign international networks, servers, etc.), products/ applications of LF SRM Platform or other users of the LF SRM Platform, affecting the communication between LF SRM Platform and the Internet or LF SRM Platform with specific network, server, and the internal network of the LF SRM Platform, or leading to the crash, system breakdown, or inaccessibility, etc., of the users’ cloud-based products/applications of the LF SRM Platform products and services or the website server of other LF SRM Platform users; do not make any damage or attempt to destroy network security (including but not limited to phishing, hacking, internet fraud, containing or suspected of spreading: viruses, trojans, malicious code, and alleged attacks on other websites and hosts through virtual hosts such as scanning, sniffing, ARP Deception, DOS, etc. in website or space); do not make any changes or attempt to change the system configuration provided by the LF SRM Platform or damage the security of the system; do not engage in other illegal, breach of contract or violation of the rules of the LF SRM Platform. If the LF SRM Platform finds that you have violated the agreement of the above terms, it has the right to take appropriate action according to the circumstances, including but not limited to immediately terminate the service, suspend the service or delete the corresponding information, etc. You are solely responsible for the results of your actions (such as the software you install and operate). You are responsible for the integrity and confidentiality of the data you stored on the LF SRM Platform, and the voice password and password for accessing and managing the various products and services on the LF SRM Platform. You shall be solely responsible for all losses and consequences arising from the loss or leakage of the above data, voice passwords and passwords, etc. due to improper maintenance or improper storage of the confidential information by you. You understand that the LF SRM Platform cannot guarantee that the services it provides are free of defects (such as the LF SRM Platform security products do not guarantee the absolute security of your hardware or software), but the LF SRM Platform is committed to continuously improving the service quality and service level. Therefore, you agree that: even if the service provided by the LF SRM Platform is defective, the above defects are unavoidable by the technical level of the industry at that time, and it will not be considered as a breach of contract by the LF SRM Platform. You agree to cooperate with the LF SRM Platform to solve the above defects.

9. You grant the Company the License for use

You grant Mega Precision Technology (Dongguan) Limited and its affiliated companies (affiliated companies including but not limited to: SAGA Precision Company Limited, Mega Precision Technology Limited, INNO Precision Limited, Dongguan INNO Precision Technology Limited, Channel Well Precision Tools (Dongguan) Limited, Dongguan Wintech Precision Technology Limited and Dongguan Luen Fung Precision Technology Limited) the exclusive, worldwide, perpetual and free license rights (and the right to sublicense such rights at multiple levels), giving the Company the right (in whole or in part) to use, copy, modify, adapt, publish, translate, distribute, perform and display "your information" or create derivative works thereof, and / or to incorporate "your information " in other works with any form, media or technology that are now known or later developed.

10. Privacy

Protecting user privacy is the principle of the LF SRM Platform. LF SRM Platform guarantees not to disclose or provide to third parties the company information registered by user and the non-public content stored by the user when using the Service, except in the following circumstances: prior express authorization from the user; in accordance with the request of judicial authority or government department. Please note that once you voluntarily disclose "your information" on the LF SRM Platform, such information may be obtained and used by others.

11. Confidentiality

Confidential information refers to all technical and non-technical information disclosed by one party to the other (including but not limited to product information, product plan, price, financial and marketing planning, business strategy, customer information, customer data, research and development, software hardware, API application data interface, technical description, design, special formulas, special algorithms, etc.).

Either party to this Agreement agrees to keep the confidential information of the other party in strict confidence, and strictly require their employees who have access to the above confidential information to comply with the confidentiality obligations of this term. The party receiving the confidential information shall not disclose the confidential information unless the state organ has made a compulsory request in accordance with the law or the confidential information mentioned above has entered the public domain.

Both parties to this Agreement expressly acknowledge that their respective user information and business data, etc., are their respective important assets and key confidential information. Both parties to this Agreement agree to use their best efforts to protect such confidential information from disclosure. In the event of such confidential information disclosure incident above mentioned is found, both parties shall cooperate to take all reasonable measures to avoid or mitigate the consequences of the damage.

This term will not be invalidated due to the termination of this Agreement.

12. Termination or access restriction

You agree that LF SRM Platform, in the case that the LF SRM Platform has not charged you, may at its sole and absolute discretion for any reason (including but not limited to that LF SRM Platform considers you to have violated the literal meaning and spirit of this Agreement, or you act in a manner that does not comply with the literal meaning and spirit of this Agreement, or use the LF SRM Platform for other commercial purposes without the consent of LF SRM Platform, or if you have not used your account and password to log in to the website for more than 90 days) to unilaterally discontinue or terminate the “Service” provided to you without notice to you, i.e. terminate your “Service” password, account (or any part thereof) or your use of the “Service” and delete and discard "Your Information" submitted in your use of the “Service”. You agree that, in the case that the LF SRM Platform charges you, the LF SRM Platform should implement the above-mentioned termination of service based on reasonable suspicion and in the case of email notification. LF SRM Platform at the same time at its sole and absolute discretion, in the event of notice or without notice, at any time to stop providing LF SRM Platform “Service” or any part thereof. You agree that the measures to terminate your use of the LF SRM Platform “Service” under any term of this Agreement may be implemented without prior notice, and acknowledge and agree that the LF SRM Platform may immediately void your account, or revoke your account and all relevant information and files in your account, and / or prohibit you from further accessing such files or “Service”. Upon termination of the account, the LF SRM Platform is under no obligation to retain any information contained in or in connection with the original account for you, or to forward any information that has not been read or sent to you or to third parties. In addition, you agree that the LF SRM Platform will not be liable to you or any third party for the termination of your access to the LF SRM Platform “Service”. Term 11, 14, 15, 16 and 22 shall survive the termination of this Agreement.

If the network service and service functions need to be suspended due to system maintenance or upgrade, the LF SRM Platform will use their best effort to advertise on the website in advance.

13. Consequences of violation of terms

Without limiting other remedies, if any of the below situation occurs, the Company may immediately issue a warning to temporarily suspend, permanently suspend or terminate your membership, delete any of your existing information, and any other information you display on the website: (i) you are in breach of this agreement; (ii) the Company is unable to verify or authenticate any information you provide to the Company; or (iii) the Company believes that your actions may cause legal liabilities to you, our users or any third-party service providers who provide services through our company or our website. Without limiting any other remedies, the LF SRM Platform may suspend or terminate your account if you are found to be engaged in fraudulent activities involving the Company's website.

14. The service is provided "as is"

The Company cannot foresee any technical problems or other difficulties at any time. Such difficulties may result in data loss or other service interruption. Therefore, you expressly understand and agree that your use of the “Service” is at your own risk. LF SRM Platform expressly disclaims all warranties of any kind, expressed or implied, including but not limited to, warranties of security, fitness for a particular purpose and non-infringement. LF SRM Platform does not warrant the following: (i) the “Service” will meet your requirements; (ii) the “Service” will be uninterrupted, and timely, secure and without any errors; (iii) the results that may be obtained through the use of the “Service” will be accurate or reliable; and (iv) any other services, information or other materials you obtain through the “Service” will meet your expectations. Any material downloaded or otherwise obtained through the use of the “Service” is done at your own discretion, and the risks associated with it are at your own risk, and you will be solely responsible for any damage to your computer system or any loss of data that results from your downloading of any such material. Any oral or written advice or information you obtain from the LF SRM Platform or through or from the “Service” does not give rise to any warranty expressly stated in this Agreement.

15. Scope of Responsibility

You expressly understand and agree that the LF SRM Platform will not be liable for any compensation of damages of any of the following circumstances: compensation of damages including but not limited to loss of profits, goodwill, use, data, etc. or other intangible losses. (whether or not the LF SRM Platform has been advised of the possibility of such damages): (i) the use or failure to use the “Service”; (ii) the fees for purchasing or acquiring any goods, samples, data, materials or services through or from the “Service”, or the fees for obtaining alternative goods and services while receiving any information from or in connection with any transaction through or from the “Service”; (iii) unauthorized access to or alteration of your transmitted information or data; (iv) statement of any third party to the "Service" or acts regarding the "Service"; or (v) any other matter, including negligence, arising in connection with the “Service” for any reason.

16. Compensation

You agree that you must compensate and indemnify the Company and its subsidiaries, branches, directors, staff and agents against any third party claims (including the costs of judicial fees and other professional fees) arising out of your breach of this agreement or other documents incorporated into this Agreement referred to herein, or that you have violated the law or infringed the rights of third parties.

In addition, you need to guarantee that: you shall comply with all laws, regulations and rules of the People’s Republic of China during the performance of this Agreement; if LF SRM Platform suffers any loss or damage as a result of your violation of the laws, regulations and rules the People’s Republic of China, you should take all actions to make the Company exempt from liability and are liable to compensate to the user for all losses and damages arising therefrom.

17. Compliance with the law

You shall comply with all relevant laws, regulations, ordinances and rules relating to your use of the “Service” and provision of relevant information.

18. Links

The “Service” or third parties can provide links to other World Wide Web sites or resources. As the LF SRM Platform does not control such websites and resources, you acknowledge and agree that the LF SRM Platform is not responsible for the availability of such external websites or resources, and does not endorse any content, promotions, products, services or other materials on or obtained from such websites or resources, and is not responsible or liable to such items. You further acknowledge and agree that the LR SRM Platform is not liable for any direct or indirect damage that is caused by (or claims to be caused by) any use or reliance on such kind of content, promotions, products, services or other materials obtained from such websites or resources.

19. Notice

Unless otherwise expressly stated, any notice should be sent by email (for the LF SRM Platform), email address srm.support@luenfunggroup.com, (for you) sent to you at the email address you provided to the LF SRM Platform during the registration process, or such other address as indicated by the concerned party. After the email has been sent out for twenty-four (24) hours, the notice shall be deemed to have been served, unless the sender is informed that the email address has been revoked. Alternatively, the Company may send the notice to the address you provided to the LF SRM Platform during the registration process by postage prepaid mail with return receipt requested. In this case, the notice is deemed to have been served three (3) days after the date of payment.The address you provided to LF SRM Platform during the registration process or the changed address notified in the form agreed in this Term or of written notice, and after the dispute arising from this Agreement or the LF SRM Platform Service is brought to the People's Court or arbitration institution, such address will also be considered as an effective address for judicial delivery. The People's Court or arbitration institution may serve relevant documents, legal documents including judgments, rulings, and mediation documents, etc. according to this address. If it is rejected, no such person or if no one is present to receive the email for other reason, it shall be deemed to have been served. However, if one party has submitted a confirmation letter of address for service to the People's Court or arbitration institution, the address for delivery shall be the address for service in the confirmation letter.

20. Force majeure

LF SRM Platform shall not be liable to you for the delay or failure to fulfill the contract by the Company for causes beyond the scope of the Company's reasonable control, including but not limited to natural disasters, strikes or disturbances, material shortages or rationings, riots, acts of war, acts of government, communications or other facility failures or serious casualty incidents.

21. Other provisions

This Agreement supersedes any prior written agreement between you and the LF SRM Platform in respect of the same matter. All aspects of this Agreement shall be governed by the laws of the mainland of the People's Republic of China. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be revoked and the remaining provisions shall be enforced. The titles of the terms are provided for easy reference only, and does not define, limit, explain or describe the scope or limitation of such term in any way. No action has been taken by the Company against a breach of contract by you or another person does not imply that the Company withdraws its right to take action on any subsequent or similar breach of contract.

22. Litigation

Any dispute arising from or related to this Agreement or the LF SRM Platform Service shall be brought to the People’s court at the location of Mega Precision Technology (Dongguan) Limited, and the law shall be governed by the laws of the People’s Republic of China.

23. Other statements

（1）All content contained in this website: The ownership of text, graphics, logo, creative ideas and software, etc. belongs to LF SRM Platform and the content/information provider of this website, protected by China and international copyright laws. For the reproduction of all content on this website (including collection, combination and recombination), the website has exclusive right and is protected by China and international copyright laws. The content and software on this website may be used as information to collect information resources for online transactions and online auctions. Any other use of such content on this website, including re-creation, modification, publication, forwarding, republication, presentation or broadcast, is strictly prohibited.

If the LF SRM Platform determines that the customer behavior is illegal or detrimental to the interests of its website and its companies, the LF SRM Platform and its affiliates will retain, including but not limited to, the right to refuse to provide services, freeze a member’s account, and/or cancel an order.

（4）LF SRM Platform allows customers to register and use the various services on the LF SRM Platform. If your registration information is not true, we will delete the relevant information at any time or suspend your services indefinitely, without having to obtain your consent in advance and without obligation to notify you afterwards.

（5）The link service on the LF SRM Platform can directly enter other sites. These linked sites are not controlled by the LF SRM Platform. LF SRM Platform is not responsible for the content of any linked site.

（6）LF SRM Platform and its affiliates respect the intellectual property rights of others. If you confirm that your work has been plagiarized in some way, such act violates China’s and International copyright laws, please make a copyright complaint to the LF SRM Platform.

（7）LF SRM Platform does not provide any expressed or implied warranty for all content on this website, including but not limited to the website operation or information, content, materials or products on this website. As permitted by applicable law, the LF SRM Platform disclaims all expressed or implied warranties, including but not limited to implied warranties of merchantability for a particular purpose. LF SRM Platform is not liable for any loss or damage or any loss or damage caused by the use or inability to use of this website, including but not limited to direct, indirect, incidental, punitive and consequential loss or damage.

（10）LF SRM Platform is applicable to the law of the People's Republic of China. We reserve the right to change our website and the above disclaimers and terms at any time.

（11）If there is any inconsistency or ambiguity between the English version and the Chinese version, the Chinese version shall prevail.
